The Andrew Left Verdict and Its Implications Beyond Short Selling

This Skull Session builds on the short selling theme with John Sutter, Esq. (@CodfishJohnny), who joined us to unpack the Andrew Left conviction. John has worked with whistleblowers and short activists and now spends much of his practice helping financial market participants reduce legal risk.

We started with the core issue in the case. Investors still do not have a clear answer on exactly what conduct crossed the line. John explained that the government’s theory has shifted at different points, but broadly alleged that Andrew Left lied to move markets and then profited from the move. The concern for financial publishers is that the verdict could shape how people think about research, price targets, trading, and public commentary.

Price Targets, Covering, and Risk Management

A major part of the discussion centered on price targets and trading after publication. John explained that the government focused on examples where Left published price targets and then sold or covered positions before those targets were reached. He viewed that as troubling because risk management is a normal part of short selling.

We spent time on the practical reality of short selling, where the risk profile differs from long investing. A short seller may cover after a stock drops because the trade has worked, because borrow conditions have changed, or because squeeze risk has increased. John’s point was that covering a short position does not necessarily reflect a change in view or suggest fraudulent intent.

That issue carries implications for long investors as well. If regulators place heavy weight on whether someone sold before a published target was reached, similar questions could extend to long research, newsletters, sell-side reports, or social media commentary. The concern is that clearer boundaries are needed around how such statements are interpreted.

Disclaimers, Social Media, and Reducing Risk

The conversation then moved to disclaimers. John said disclaimers still matter, but they need to be accessible and tied directly to the content people are reading. A disclaimer buried on a website may not carry the same practical value as one linked directly from a post or included alongside the research.

His guidance was framed around reducing risk rather than offering protection from legal exposure. If someone is publishing market commentary, especially on social media, readers should be able to easily find the relevant disclaimer and understand that the author may trade around positions.

The broader point was that financial commentary has moved faster than the legal framework around it. Research reports, posts, podcasts, and short-form updates can all influence how investors interpret an idea. That makes process, documentation, and clear disclosure increasingly important.

What Comes Next in the Appeal

John also explained why the appeal will be important. A jury verdict does not necessarily create a clear legal rule. The appellate process should force the government to explain its theory more directly, including what specific conduct violated the law.

The key legal question may come down to whether the government tries to frame the conduct as scalping. John explained that prior scalping cases usually involve some relationship of trust and confidence, such as an adviser relationship. His concern is that applying that concept to a public commentator because many people listen to them could create a much broader standard.

John closed with a useful distinction. The verdict may not have changed the actual legal risk yet, but it has changed the perception of risk. Until the appeal provides more clarity, the case will remain relevant for short sellers, long investors, financial bloggers, and anyone publishing market opinions.
